This is an agreement between you or the entity that you represent and TeamGram Inc. (“TG”) governing your use of teamgram.com websites, and associated TG services (“TeamGram” or “Service”). Please read these Terms carefully before signing up to TeamGram. By submitting the sign up form to TeamGram you agree to be bound by the following Terms of Service (“Terms”) and this agreement becomes effective upon your submission of sign up form of TeamGram. If you are using TeamGram on behalf of your organization, or have “Administrator” level access to your company’s account in TeamGram, you also agree to these Terms on behalf of your organization, and declare that you are duly authorized to do so.
TG reserves the right to change and update the Terms at any time without notice. You can find and review the most up to date version of the Terms at this page.
You must be a human and of legal age in the country of your residence to accept these terms and to use the Service. Automated user signups, or accounts intended for use by automated systems are not allowed under these terms.
You warrant that any information including but not limited to your name, surname, email address, billing information and any other information you supply to TG is correct, legally accurate and valid. You must maintain this information accurate at all times and promptly update if it should change.
Your username and password may only be used by one person. Sharing a single username and password with other people is not permitted.
You are responsible for maintaining the security of your username and password. TG cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.
Should you ever suspect that your password may have been exposed, you must immediately change it from a secure terminal, and alert us and other users whose information may have been compromised due to this exposure.
You may not register or access the Service using any method other than teamgram.com website or other authorized communication channels. Automated registration or access methods are not permitted.
Any activity you perform using TeamGram must be legal in the country you operate in, as well as in the United States of America and the European Union, where some of our servers that host your data may be located in. Any content that you may receive from other users of the Service, is provided to you AS IS for your information and personal use only and you agree not to use, copy, reproduce, distribute, transmit, broadcast, display, sell, license or otherwise exploit such content for any purpose, without the express written consent of the person who owns the rights to such content.
You may not use the Service for any illegal or unauthorized purpose. You must not, in the use of Service, violate any laws in your jurisdiction, the United States of America, or the European Union, including but not limited to copyright laws.
You warrant that the content uploaded to the Service does not contain or install any viruses, worms, malware, Trojans or other harmful or destructive content.
Your use of the service is at your sole risk. The service is provided on an AS IS and AS AVAILABLE basis.
You understand that TG uses third party vendors and hosting partners to provide the necessary hardware, software, networking, infrastructure, data centers, internet connections, storage and related technology required to run the Service.
You understand that the following activities are specifically prohibited:
You understand that some of your content may be stored and transferred unencrypted over public networks to conform and adapt to technical requirements of connecting networks or devices.
TeamGram subscriptions must be purchased and paid for on behalf of your company, and for all users authorized to use TeamGram in your company. Users with Administrator rights in your company may grant and revoke rights to other users as needed.
Valid credit card information and/or prepayment must be provided for TeamGram subscriptions. By subscribing to the Service, you agree to pay TG or our designated payments processors periodic subscription fees indicated for the Service. Payments will be charged at the beginning of each period and are not refundable.
Any free trial period offered to you will end when you select a paid subscription plan.
Unless you notify TG before the end of the applicable subscription period that you want to cancel your subscription, the credit card you provided will be automatically charged for all future fees.
There will be no refunds or credits for partial months of service, upgrade/downgrade refunds, or refunds for months unused with an open account.
All changes to your subscribed services will be effective immediately.
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, duties.
This service is subject to laws of the United States of America and the European Union.
If your account is suspended, your data will be kept for another ninety (90) days starting from the suspension date. If you decide to activate your account during the suspension period you can recover your data after you complete the subscription process.
If you do not activate your account during the suspension period, your account may be deleted from the Service and the information in your account may become unrecoverable.
You are solely responsible for properly cancelling your account. An email or phone request to cancel your account is not considered cancellation. You can cancel your account from the cancellation link within the Control Panel any time. If you cancel your account in the middle of your billing cycle, the cancellation will take effect immediately and you may not be charged again.
TG, in its sole discretion, reserves the right to suspend and cancel your account, terminate your access to all or any part of the Service at any time, with or without notice, effective immediately, if it believes the terms of service have been violated or its services otherwise abused. Such termination of the Service will result in the suspension or deletion of your account or your access to your account, and the forfeiture and relinquishment of all the content in your account.TG reserves the right to refuse service to anyone for any reason at any time.
TG may make modifications or discontinue the Service or any part of the Service at any time or from time to time, temporarily or permanently with or without notice. TG shall not be held liable for any modification or discontinuation of the Service as described in the Terms.
TG reserves the right to change the payment terms and fees upon thirty (30) days prior notice to you. Such notice may be provided at any time by posting the changes at the www.teamgram.com website or within the Service itself.
Should you encounter any content in TeamGram that infringes a copyright or trademark you own, inform us by filling in a feedback form. Make sure you:
Specify the copyrighted work or trademark that is being infringed.
Specify the content infringing the copyright or trademark. If applicable, include the URL.
Include your name, company (if any), email, phone number, and legal mailing address.
Declare your ownership of the copyrighted work or trademark.
Declare your request for removal of infringing content from TeamGram.
We may work with advertisers and sponsors to subsidize the cost of the service. You accept that the cost of the service to you would have to be significantly higher without advertising and sponsorship revenues and consent to our cooperation with advertisers and sponsors in order to benefit from this reduction of cost. You must not prevent the display of advertising in the TeamGram website and emails we send to you using ad blockers or other methods. We will try to reduce irrelevant advertising and sponsor messages, by using any profile information you or others in your company store in TeamGram to select appropriate advertisers and sponsors that may be displayed to you.
Should we work with other advertising networks or partners to display advertising and sponsorship messages, we may share anonymized information about you or your company. Your specific contact information, person names, telephone numbers, emails, and files will not be shared with advertisers or sponsors.
We do not accept responsibility for the messages or claims of advertisers or sponsors.
The Service is provided AS IS and AS AVAILABLE. TG and its suppliers and licensors hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement.
Neither TG nor its suppliers and licensors, makes any warranty
i) that the Service will be error free,
ii) that access thereto will be continuous or uninterrupted,
iii) that the Service will meet your specific requirements,
iv) that the quality of any products, services, information or other material purchased or obtained by you through the Service will meet your expectations, and
v) any errors in the Service will be corrected.

TG, its suppliers and licensors may, at any time, without notice or liability to you, restrict in whole or in part the use of the Service or limit availability in order to perform maintenance activities and to maintain session control or for any other purpose.
In no event TG, or its suppliers or licensors, will be liable with respect to any subject matter of this agreement under any contract, negligence, strict liability or other legal or equitable theory for: (i) any special, incidental or consequential damages; (ii) the cost of procurement for substitute products or services; (iii) for interruption of use or loss or corruption of data; or (iv) for any amounts that exceed the fees paid by you to TG under this agreement during the three (3) month period prior to the cause of action. TG shall have no liability for any failure or delay due to matters beyond their reasonable control. The foregoing shall not apply to the extent prohibited by applicable law.
The failure of TG to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. The Terms constitutes the entire agreement between you and TG and govern your use of the Service, superseding any prior agreements between you and TG, including, but not limited to, any prior versions of the Terms of Service.
You agree to indemnify and hold harmless TG, its suppliers, its licensors, their respective directors, officers, employees, agents and its affiliates from and against any and all claims, liabilities, damages, costs and expenses, including reasonable attorney’s fees, arising out of your use of the Service, including but not limited to your violation of these Terms, violation of applicable laws or regulations, your placement or transmission of any message, information, software or other materials on the internet and your negligent acts, errors, or omissions. In any case, all compensation you may be entitled to for any and all reasons will be limited to the amount you have paid us in the last 90 (ninety) days prior to the date of the claim.
