TeamGram Terms of Service

These Terms of Service (“Terms”) are an agreement between you and TeamGram Inc. (“TeamGram”, “we”, “us”) that governs your use of the TeamGram website and all associated services and apps (collectively, the “Service”). By accessing or using the Service in any way, you agree to be bound by these Terms.
These Terms apply to all users, including invited users who join an existing organization account without going through a sign-up form. If you are using TeamGram on behalf of an organization, or hold Administrator-level access to your company’s TeamGram account, you accept these Terms on behalf of that organization and represent that you are authorized to do so.
Please read these Terms carefully. If you do not agree, do not use the Service.
1. Accepting and Updating These Terms
Your continued use of the Service constitutes your acceptance of these Terms as they stand at that time. For changes that materially affect your rights or obligations, TeamGram will give advance notice by email and/or by posting a notice within the Service. The current version of these Terms is always available at teamgram.com website.
2. Who Can Use the Service
To use the Service, you must:
- Be a business or an individual of legal age in your country of residence. Automated sign-ups are not permitted. User accounts are for human use only and may not be operated by automated systems—such as APIs, MCP connections, or webhooks—unless your subscription plan explicitly includes machine access. Machine access is a separately priced feature and is subject to additional terms.
- Provide accurate information when registering, including your name, email address, and billing details, and keep that information current.
- Keep your account credentials confidential. “Credentials” means any authentication method associated with your account, including passwords, one-time passcodes, and passkeys. Credentials are personal and may not be shared.
- Notify TeamGram promptly if you suspect your account has been accessed without authorization. You are solely responsible for all activity that takes place under your account. TeamGram is not liable for any loss or damage resulting from unauthorized access, regardless of whether TeamGram has been informed.
- Access the Service only through TeamGram.com or other channels TeamGram has expressly authorized.
All use of the Service must comply with applicable laws in your jurisdiction and in the Province of Ontario, Canada, where TeamGram is based.
3. Acceptable Use
The following are prohibited:
- Accessing or attempting to access any part of the Service you are not authorized to use.
- Using the Service to distribute malware, redirect users to malicious sites, or compromise anyone’s data security.
- Probing, scanning, or testing TeamGram systems for vulnerabilities, or bypassing any security controls.
- Accessing Service resources by any means other than the authorized interface or communication channels.
- Scraping, bulk-downloading, or programmatically reformatting Service content without TeamGram’s written permission.
- Modifying or reverse-engineering the Service, or misrepresenting any third-party site as affiliated with TeamGram.
- Sending unsolicited commercial messages (spam) through the Service.
- Impersonating any person or organization, or submitting false or deceptive information.
- Sharing content that infringes third-party intellectual property rights, or that is misleading, fraudulent, or unlawful.
- Using third-party trademarks or brand names without authorization.
- Reselling or sublicensing access to the Service.
- Storing, transmitting, or promoting content that encourages or facilitates hatred based on religion, ethnicity, race, or other protected characteristics.
Some content may be transmitted unencrypted over public networks where required by technical standards. TeamGram does not control the infrastructure of connecting networks or devices.
4. Your Content
You retain full ownership of all data and content you upload or create within the Service (“Your Content”). By uploading Your Content, you grant TeamGram a limited, non-exclusive, royalty-free license to store, process, and use it solely to the extent necessary to deliver the Service to you.
You are responsible for ensuring that Your Content does not infringe third-party rights, does not contain malware or harmful code, and complies with applicable law.
Content you receive from other users of the Service is provided for your personal use only. You may not reproduce, distribute, sell, or otherwise exploit it without the express written consent of the rights holder.
5. Intellectual Property
TeamGram and its licensors own all rights, title, and interest in the Service, including all software, trademarks, trade names, and documentation. Nothing in these Terms transfers any ownership of the Service or its components to you.
5.1 Reporting infringement
If you believe content in TeamGram infringes a copyright or trademark you own, contact us at legal [@] TeamGram.com with: (i) a description of the work being infringed; (ii) the URL or location of the infringing content; (iii) your contact details; (iv) a declaration of ownership; and (v) a request for removal.
5.2 Customer name and logo
By using the Service, you grant TeamGram a limited, non-exclusive, royalty-free, worldwide license to display your organization’s name and logo to identify you as a TeamGram customer. This may appear on TeamGram’s website, in sales presentations, case studies, and social media. TeamGram will use your name and logo factually and in a non-disparaging way, and will follow any brand guidelines you provide. TeamGram will not suggest you endorse our products or services beyond your use of the Service.
You may withdraw this license at any time by emailing legal [@] TeamGram.com. TeamGram will stop using your name and logo in new materials within 30 days and will make reasonable efforts to phase it out of existing materials.
6. AI-Powered Features
6.1 What AI features do
TeamGram includes AI-powered features (“AI Features”) such as meeting summaries, data entry suggestions, data enrichment, and activity analysis. These are built into the Service and designed to help you work more efficiently.
6.2 Third-party AI providers
AI Features rely in part on third-party AI model providers (“AI Subprocessors”). By using AI Features, you consent to the relevant input data being processed by these providers as needed to deliver the feature. An up-to-date list of subprocessors is published at our website and is updated whenever a material change occurs.
6.3 How your data is used
When you use an AI Feature, the data you submit—such as meeting notes, contact records, or task descriptions—may be sent to an AI Subprocessor to generate a result. TeamGram and its AI Subprocessors handle this data in accordance with TeamGram’s Privacy Policy and applicable data processing agreements. TeamGram will not use your business data to train or fine-tune AI models without your explicit prior consent.
6.4 Accuracy of AI outputs
AI-generated outputs are for informational and productivity purposes only. They may contain errors, omissions, or inaccuracies. You are responsible for reviewing any AI output before acting on it. TeamGram makes no warranties regarding the accuracy, completeness, or suitability of AI-generated content.
6.5 Managing AI features
AI Features can be enabled or disabled by your system administrators through the Control Panel.
7. Privacy and Data Protection
7.1 Privacy Policy
Your use of the Service is subject to TeamGram’s Privacy Policy at TeamGram.com, which is incorporated into these Terms. The Privacy Policy describes what personal data we collect, how we use it, and your rights.
7.2 Where your data is stored
Your data may be stored and processed in data centers in Canada, the United States, and the European Union. TeamGram will give you at least 30 days’ advance notice of any material change to data residency locations.
7.3 EEA residents – GDPR
For users in the European Economic Area, TeamGram acts as a data processor for personal data you store in TeamGram and as a data controller for account and usage data. Cross-border transfers outside the EEA are made under Standard Contractual Clauses or equivalent mechanisms approved by the European Commission.
7.4 Türkiye residents – KVKK
For users in the Republic of Türkiye, personal data you store in TeamGram may be subject to the Kişisel Verileri Koruma Kanunu (KVKK, Law No. 6698). In the context of KVKK, TeamGram acts as a data processor on your behalf. By using the Service, you consent to the cross-border transfer of your data to the countries listed in section 7.2. If your organization requires a formal data transfer agreement for KVKK compliance purposes, a standard contract as defined under Kişisel Verileri Koruma Kurulu Decision No. 2024/959 may be available depending on your subscription plan. Please contact your TeamGram account executive for details.
8. Billing
TeamGram subscriptions are purchased on behalf of your organization in the form of seat licenses. The number of licenses purchased determines the maximum number of users who may have access to the Service at any given time. System administrators must assign licenses to users and reassign them as needed, for example when an employee leaves and is replaced by another. Users may only access the system if they have an assigned license.
A valid payment method must be on file for paid subscriptions. By subscribing, you authorize TeamGram or its payment processors to charge the applicable fees at the start of each billing period. All fees are non-refundable except where these Terms expressly say otherwise.
The number of users with an assigned license may not exceed the number of licenses purchased. However, having fewer assigned users than purchased licenses does not reduce the fees owed. Your subscription covers the number of licenses purchased, not the number currently in use. Accordingly, at renewal, your subscription will automatically continue at the number of licenses purchased during the preceding period, regardless of how many of those licenses were actively assigned to users at the time of renewal. If you wish to reduce the number of licenses at renewal, you must do so before the end of the current subscription period through the Control Panel.
Free trials end when you choose a paid plan. If you do not cancel before the end of your current period, your payment method will be charged automatically for the next period.
No refunds or credits are issued for unused time in an open account, or adjustments resulting from plan downgrades or cancellations.
TeamGram currently includes usage-based pricing for certain services, including AI features, API access, and MCP integrations. Additional services with consumption-based pricing may be added in the future. Pricing for all services—including any usage-based components—is published at TeamGram.com or in the Control Panel. TeamGram will give at least 30 days’ notice before introducing new consumption-based charges or materially changing existing ones.
All fees are exclusive of taxes, levies, and duties imposed by any taxing authority. You are responsible for paying all such amounts.
TeamGram reserves the right to change its fees with prior notice delivered by email or through the Service.
9. Cancellation, Suspension, and Termination
9.1 Cancellation by you
Only system administrators may cancel a subscription, and only by using the cancellation option in the Control Panel. Cancellation takes effect at the end of the current billing period; no further charges are made after that point. Requests submitted by email, phone, or any other channel are not valid cancellations.
9.2 Suspension by TeamGram
TeamGram may suspend your account if fees remain unpaid or if TeamGram has reasonable grounds to believe these Terms have been violated. Suspended accounts retain their data for a minimum of 90 days from the date of suspension. If you reactivate within that period, your data will be restored once all outstanding requirements are met.
9.3 Termination by TeamGram
TeamGram may terminate your account and access to the Service at any time, with or without notice, if TeamGram determines that these Terms have been materially violated or the Service has been abused. Termination may result in permanent deletion of your account and all associated data. TeamGram also reserves the right to refuse service to any person or organization for any reason.
9.4 Data after closure
If a suspended or cancelled account is not reactivated within 90 days, or upon termination, your data may be permanently deleted and become unrecoverable. We recommend exporting your data before closing your account.
10. Service Changes
TeamGram may change, suspend, or discontinue any part of the Service at any time. Where a significant feature or the Service as a whole will be discontinued, TeamGram will make reasonable efforts to give advance notice. TeamGram is not liable for any impact resulting from such changes.
11. Disclaimer and Limitation of Liability
The Service is provided “AS IS” and “AS AVAILABLE.” TeamGram and its suppliers and licensors disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. TeamGram does not warrant that the Service will be error-free, uninterrupted, or suitable for your specific requirements, or that any errors will be corrected.
To the maximum extent permitted by law, TeamGram and its suppliers and licensors will not be liable for any special, incidental, indirect, or consequential damages; any loss or corruption of data; any cost of procuring substitute services; or any amounts exceeding the fees you paid TeamGram in the three months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless TeamGram and its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable legal fees) arising from: (i) your use of the Service; (ii) your violation of these Terms; (iii) your violation of applicable law; or (iv) your negligent acts or omissions. Your liability to TeamGram under this section is not subject to any cap.
13. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without reference to conflict-of-law rules. Any dispute arising from these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
14. General
These Terms are the entire agreement between you and TeamGram regarding the Service and supersede all prior agreements on the same subject.
If TeamGram does not enforce a right or provision in these Terms, that does not constitute a waiver of that right or provision.
If any provision of these Terms is found unenforceable, the remaining provisions stay in effect.
You may not transfer your rights or obligations under these Terms without TeamGram’s prior written consent. TeamGram may transfer its rights and obligations freely.
